    Classroom Inside the 2017 Report of the Blue Ribbon Commission on Culture


    The NACD Blue Ribbon Commission identifies how boards can play an active role in shaping corporate culture to promote growth and avoid crisis. This program was an interactive insiders look at the new 2017 Report of the Blue Ribbon Commission on Culture as a Corporate Asset. We were fortunate to host one of the co-chairs of the Report, Nick Donofrio for this highly anticipated publication. Local board leadership fellow and corporate director, Nora Denzel, was moderator. This subject will continue to be one of the most important topics facing companies and boards this year.

    Has the Audit Committee Become the Everything-About-Risk Committee? Audit Committees for years have tended to assume a disproportionate share of committee responsibility at many companies. The intensity of Audit Committee oversight increased with Enron (and the ever increasingly complicated financial affairs of many companies), with a trend that accelerated with Sarbanes-Oxley (whistleblowers and so forth), and since then many Audit Committees have almost organically been tasked with looking like all the other new and different ê�risksê� that have presented themselves _ IT and cyber-risks, anticorruption and market conduct, social media risks, etc. None of this is simple and more than ever requires constant assessment of what to focus on, and how. Come hear how experienced directors and their advisors are managing these challenges, and doing so without disrupting traditional Board governance balance.
