In light of evolving-- and sometimes actively debated-- perspectives on the role of public companies with respect to sustainability, corporate social responsibility, and other ESG matters, we are providing a high-level overview of how boards of directors and senior management teams may wish to approach these issues: Be aware that sustainability has become a major, mainstream governance topic that encompasses a wide range of issues, including a company's long-term durability as a successful enterprise, climate change and other environmental risks and impacts, systemic financial stability, management of human capital, labor standards, resource management, and consumer and product safety, and consider how your company presents itself with respect to these matters.

Director of Capital Markets Policy and Outreach, SASB
Janine Guillot is the director of Capital Markets Policy and Outreach at SASB, where she leads outreach to investors to support demand for standardized disclosure of material sustainability factors. She has more than 25 years of experience in operating, strategy, risk management, and finance roles in financial services. She served as chief operating investment officer for the California Public Employees’ Retirement System (CalPERS), where she was responsible for CalPERS investment office business and operational management, CalPERS affiliate funds, and CalPERS defined contribution plans. Guillot also oversaw the CalPERS corporate governance program, including integration of sustainability and governance factors into investment decision making. She has held senior leadership positions at Barclays Global Investors, Bank of America, and Incapture LP. At Barclays Global Investors, she served as chief operating officer for BGI’s European and Global Fixed Income businesses. She began her career in public accounting.
Guillot holds a bachelor’s degree in Business Administration with a concentration in Accounting from Southern Methodist University. She is a member of the Board of Directors of the Marin Agricultural Land Trust and Equilibrium Capital. She serves on the Senior Advisory Board at the Center for Responsible Business at UC Berkeley’s Haas School of Business, on B Lab’s Multinational and Public Markets’ Advisory Council, and on the FDIC’s Systemic Resolution Advisory Committee.
Lydia I. Beebe serves on three corporate boards of directors: Kansas City Southern (NYSE: KSU), where she serves on the Nominating and Corporate Governance Committee; Aemetis Inc. (NASDAQ: AMTX), where she serves on the Audit Committee and chairs the Governance, Compensation, and Nominating Committee, and EQT Corporation. She was also a director of HCC Insurance Holdings, Inc. (NYSE: HCC), serving as chair of the Nominating and Governance Committee and a member of the Compensation Committee, until its acquisition by Tokio Marine in late 2015.
As founder and principal of LIBB Advisors LLC, Beebe works with boards of directors on corporate governance matters, and she is currently the codirector of the Stanford Institutional Investors' Forum. In April 2015, she retired after two decades as corporate secretary and chief governance officer of Chevron Corporation. She was senior counsel at Wilson Sonsini Goodrich & Rosati from June 2015 until July 2017. Beebe was chair of the board of directors of the NACD Northern California Chapter in 2016 and 2017, capping nine years as a member of the board. She currently serves on the advisory boards of the Arthur and Toni Rembe Rock Corporate Governance Center at Stanford University and the Weinberg Center for Corporate Governance at the University of Delaware. She served on the board of directors of the Presidio Trust from 2003 until 2008 and on the California Fair Employment and Housing Commission from 1991 until 1999, chairing the Commission for the final five years.
Barbara Berlin is a director in PwC’s Governance Insights Center, which strives to strengthen the connection between directors, executive teams, and investors by helping them navigate the evolving governance landscape. With more than 20 years of experience at PwC, she brings extensive knowledge in governance matters, including cybersecurity and emerging technologies, to organizations. She is a well-known speaker on a variety of governance topics.
Berlin has authored and contributed to many PwC governance publications, including the new Risk Oversight Series, Technology Series for board members, and Directors and IT guide. She is a Certified Public Accountant (licensed in New York and New Jersey) and is a graduate of the State University of New York at Geneseo with a BS in Accounting. She lives in New York with her husband and three children.
As a manager of Technical Accounting and SEC Reporting at Salesforce, Chris Power is responsible for determining the correct accounting treatment for nonstandard transactions and ensuring the quality, accuracy, and completeness of data included in SEC filings and other public documents released by Salesforce.
Power has worked closely with executive members of the Legal, Investor Relations, Finance, Real Estate, and Sustainability teams to expand Salesforce’s disclosures in SEC filings such as the Forms 10-K and 10-Q to more accurately reflect the environmental, social, and governance (ESG) efforts of the company. In addition, he has worked with the corporate communications and public relations team to modify the annual Stakeholder Impact Report to include a section that highlights the policies, metrics, and progress on key ESG programs.
Power participates in the Sector Advisory Group for the Software and IT services industry of the Sustainability Accounting Standards Board (SASB). He has led workshops for corporate reporters on how companies can successfully align with the recommendations of the TCFD and is an advocate for the important role that finance and accounting must play to enable their companies to achieve their ESG goals.
Prior to joining Salesforce, Power worked as an external auditor with PwC. He is a CPA (California) and holds a BA with Honors in Accounting and Business/Management from the Schulich School of Business in Toronto, Canada.
James Andrus is an investment manager in Sustainable Investments at the California Public Employees Retirement System (CalPERS). CalPERS is the largest public pension system in the United States with approximately $370 billion in global assets.
Andrus is a member of the Financial Accounting Standards Advisory Council, which advises the Financial Accounting Standards Board on matters impacting financial accounting and reporting standards. He represents the Council of Institutional Investors (CII) on the International Accounting Standards Board (IASB) Advisory Committee, which advises the IASB on strategic and technical matters involving international financial reporting. He serves as chair of the Disclosure and Transparency Committee of the International Corporate Governance Network.
Prior to joining CalPERS in 2014, Andrus served as a corporate and investment management partner at the law firm K&L Gates working on mergers and acquisitions and private investment funds. While at K&L Gates, he was recognized as one of the best lawyers in the state of Washington and served as the president of the King County Bar Association representing the 14,000 lawyers practicing in Seattle/King County.
Andrus has been a frequent presenter on corporate governance and ESG-related topics, including testifying before the U.S. House of Representatives, Committee on Financial Services, Subcommittee on Investor Protection, Entrepreneurship, and Capital Markets in favor of five ESG-related bills. His recent speaking engagements include serving on a panel focused on human capital management at the 25th Annual Stanford Director’s College and on a market infrastructure and corporate governance panel at the Annual Meeting of the World Federation of Exchanges.
Andrus served as a Quartermaster Captain in the Army. He is a graduate of the University of Texas School of Law, where he served as the president of the Thurgood Marshall Legal Society, and the U.S. Military Academy at West Point.
Stephanie Wakefield advises clients from the Brunswick Group San Francisco office on market and investor relations strategies.
She brings a background in investment banking (capital markets) and software product marketing to inform corporate investor relations. She has over 15 years of experience leading global IR teams, building strong relationships within the investment community, providing counsel to management teams and boards, and communicating corporate strategy to buy-side and sell-side analysts.
Wakefield has been recognized twice by Institutional Investor as an All-America Executive Team member and with coveted StevieÂ® Awards from both the International and American Business Awards as Investor Relations Executive of the Year. She currently serves on the National Investor Relations Institute’s Advocacy Steering Committee and its Future of IR Think Tank.
Wakefield graduated from Dartmouth College with a BA in Economics and in Asian Studies (Chinese). She holds an MSc in Development Finance from the University of London School of Oriental and African Studies.
